Chapter One

Goal and Objectives

Article I:

This rules called (the rules of procedure of the United Iraqi Medical society for Relief and Development).

Article II:

This organization was founded as the United Iraqi Medical society for Relief and Development

Article III:

The organization center in Baghdad and has the right to open other branches in the provinces

Article IV:

The organization definition and the nature of their work:



Society concerned with humanitarian affairs and development, health and charity does not discriminate on the basis of racism, religion or demolition of ethnography and cultural background, a non-profit, non-political.

Article V:

Objectives

To achieve society goal contained in Article IV, it seeks to achieve the following objectives:

  1. to provide humanitarian assistance and relief to the poor, needy, displaced persons and refugees

  2. To implement the development projects of public interest.

  3. Contribute to the development of the health situation in Iraq.

  4. To build camps for refugees and displaced inside and outside Iraq, according to agreements.

    Article VI:

    The means to achieve the goals in detail:

  1. the  society to take the necessary act to facilitate the task that acquires and act in their funds movable and immovable property and has the right to buy and sell and the creation of buildings necessary for its purposes and the development of its resources to achieve its goals of development and humanitarian relief according to the laws in force

  2. cooperate with the government and all its founder, associations and local councils, Arab and international governmental and non-governmental organizations and the United Nations and the Organization of the Islamic Conference and its institutions to achieve their goals

  3. Accept gifts and donations and grants from the government with all its founder, local organizations and Arab and international governmental and non-governmental organizations and the United Nations and the Organization of the Islamic Conference and its institutions and the governments of Arab and foreign countries for the purpose of achieving the objectives of the organization and according to the laws in force.

    Chapter two

    Membership and administrative formations and powers

    Article VII:

  1. The members of the society of two classes:

    First: Original members: They are members who pay instead of belonging and instead subscribe to the organization as determined by the governing body of the organization and those members are eligible to vote and to meet the following conditions:

  1. Iraqi nationality.

  2. Not convicted of a felony or misdemeanor involving moral turpitude

  3. Has completed eighteen years of age

  4. Was nominated and be supported by two members

  5. He must have the level of undergraduate study

  6. To be with good morals and good reputation

  7. Has accepted the rules of procedure in writing.

    Second: Members include supporters of Iraqis, Arabs and foreigners who do not pay instead of belonging and participation and have no right of nomination and election

    The governing body of the authority granted the title of Honorary Member of the society in honor of the people who provide great works of the organization and its goals and be a lifetime membership does not entail any commitment by the organization and not to those persons the right of nomination and election.

    Article VIII:

    Terms of the termination and the dismissal:

    Membership terminated in the following cases and for those who may repeated that, the expiry date of his objection to at the General Assembly in its first meeting and its decision shall be final:

  1. If you have one of the conditions for membership set out paragraph (I.1) of Article (seventh) of Chapter II of the decision of the Administrative Commission

  2. If it fails to pay the subscription for a period of two consecutive years, membership terminated and the decision of the administrative Commission after his warning for a period not exceeding thirty days.

  3. If the work is contrary to the goals of the organization or affect the dignity or abuse of its activities and objectives and the decision of the Administrative Commission

  4. If a request was made by the resignation of his desire

     

    Article IX:

    Organization made up of two Commissions:

  1. General Commission.

  2. Administrative Commission.

     

     

    Article X:

     

    Powers

     

    First: the powers of the General Commission:

  1. to discuss and approve the report on the proceedings of the founding of the organization held at the constituent meeting

  2. Election of the Administrative Commission of the organization and its termination

  3. discuss the reports of the administrative and accounting controls and any other reports attribute it to a related party and take the necessary decisions

  4. discuss the final accounts of the organization and ratification it

  5. to discuss and approve the annual plan and the proposed planning budget submitted by the Administrative Commission for the coming year

  6. Endorse the rules for service in the organization that been prepared by the administrative  Commission of the organization

     

    Secondly, the powers of the administrative Commission:

     

  1. The administrative Commission handle the administrative tasks and financial planning, organizational and technical resources for the conduct of the organization's activity, except what the one handled by general Commission.

  2. Implement the decisions of the General Commission for organization and follow-up implementation

  3. Put the final accounts for the previous year during the first months of each year and prepare a comprehensive report on them and follow up the implementation of the annual plan and submitted to the General Commission of the Organization for the purpose of discussion and ratification

  4. to discuss and approve the annual plan for the organization's activities for the coming year and that the head of the organization should be prepared during the last six months of the year in the light of the objectives of the organization

  5. preparation of studies and statistics and the preparation of development projects and the creation of all the ways to develop and achieve the success of the activities and objectives of the organization

  6. the governing Commission for granted honorific titles and medals to the Iraqis or foreigners who are performing a valuable service to the association

  7. for the purpose of completing the work of the society in order to achieve its objectives on the governing Commission of work on the application of the organizational structure of the organization prepared by the founders and has the power to modify the way that serve the objectives of the association

    Third: The powers of the President of the Organization:

    A - Administrative powers: -

    First - the implementation of the decisions of the governing Commission and by his decisions and orders issued in everything related to the duties and powers and may authorize some of his powers

    Second - represent the governing Commission of the society before the judiciary and others and sign with all government departments and private organizations and the various committees and conduct warnings and signature on all transactions related thereto

    Thirdly - control of the society activities and its subsidiaries and inspected

    Fourthly - Prepare periodic reports to the governing Commission about the progress of work and the financial position

    Fifth - propose employees to be working in the organization

    Sixth - the appointment of staff of experts, consultants, and caught and discipline and termination of employees and punctuation in identifying and disbursement of wages and salaries and allowances and the allocation of hours and additional business, and business management entrusted to them

    Seventh - granting leave days to workers for a period of not more than thirty Days inside Iraq

    Eighth - considered absent excused leave by maturity

    Ninth - the formation of the appropriate committees to carry out the functions of the organization.

    Tenth - has the right to hire a third party of lawyers, consultants and non-Lawyers, give them a public and private Authorization, and identify Legal powers, remuneration and attendance in front of a book or reverse, Any official and the other to represent the organization and signed by the to edit the Authorization mentioned the right to modify or abolish such Authorization



    And the acceptance of the retirement or resignation or withdrawal of previously mentioned

    Eleventh - the clearance of goods from different customs departments, mail and other

    Twelfth - the signing of commercial paper and commercial documents and bills of exchange, bonds and endorsement

    Thirteenth - particularly the signing of all contracts, securities and related transactions between the organization and the competent departments, public institutions and the private sector

    Fourteenth - representing the organization and signed by the protocols, (agreements) held by the organization with the National Societies and the Arab and international humanitarian organizations and various bodies and institutions of global relief and United Nations bodies but notify the governing commission

    Fifteenth - representing the organization and sign all contracts as a contract of sale and purchase and mortgage, rent, lease, undertakings and bids and tenders on movable and immovable property and has the right to represent the organization and sign it in front of various real estate departments for the purchase, sale and mortgage of movable and immovable property which came nose.

    B - Financial powers:

    First - open current accounts with different banks to obtain banking facilities and to act and to deal with them so as to ensure the public interest of the organization as well as the right to cancel such accounts in a way that is appropriate to ensure the functioning of the organization in the best way, as well as the signing of contracts for banking facilities and promissory notes for this purpose

    Secondly - catch amounts for the benefit of the organization regardless of the encounter and receipts, as well as carry out exchange and disbursement of funds necessary to conduct the business of the organization

    Thirdly - the power to borrow from the banks and the people but notice the administrative commission

    Fourth - the power to authorize the President of the organization to accept donations and contributions from within and outside the country but notice the administrative commission on a regular basis

    Fifth - the power to invest the funds and assets of the organization in the investment projects but notice the administrative commission of each case in advance.

    Sixth - granting permanent ancestor branches of the organization in accordance with the approved budget may not carry without the consent of the governing body

    Seventh - Validity Exchange wages and salaries and allowances and the allocation of hours and additional work in the general status of the organization and its subordinate units, as well as branches in the provinces.

    Eighth - authority to grant permanent ancestor general headquarters and branches in the provinces to cover routine expenditures and spending on all the things that you need in accordance with the powers vested in the financial controls and limits approved appropriations

    Ninth - the purchase of furniture and appliances, machinery and supplies, and up to the appropriations

    Tenth - stationery and print publications as well as the limits of the appropriations

    Eleventh - buy back up tools for transportation, appliances and machinery exchange operating expenses, sustain, and maintain the limits of the appropriations

    Twelfth - spending on maintenance of buildings leased up to the appropriations

    Thirteenth - spending on maintenance gardens up to the appropriations

    Fourteenth - spending on maintenance of buildings and surfaces including maintenance of water and electrical outlet structures and maintenance of furniture and assets within the appropriations

    Fifteenth - allowances payable for the lease of buildings and real estate and leased headquarters and the renewal of their contracts

    Sixteenth - Exchange wages for publishing advertisements in the media within the limits of the appropriations

    Seventeenth - dispatching workers at the requirements of the interest and requirements of work for a period of not more than thirty days and give them wages and allowances

    Eighteenth - exchange insurance charges on the assets of all kinds

    Nineteenth - exchange expenses and wages of mail and telephone wages water, electricity, gas and petrol, oils, and other fuels and sewer fees

    Twenty - Rental of machinery and equipment, transportation and other necessary when needed and disbursement of wages

    Twenty-one - to participate in local newspapers, including no more than two newspapers and no later than ten copies of each newspaper in the Gazette of Iraq and the exchange subscription fees and annual subscription renewal

    Twenty-second - his predecessor granting salary to an employee who was appointed before determining wages

    Twenty-third - of exchange on the festivities and decorations in national events, national and religious under the appropriations

    Twenty-fourth - spending on hospitality expenses and meetings and seminars within to the appropriations

    Twenty-fifth - to ratify the decision of the Committee to write off loses or damages from the funds of the organization due to normal use

    Twenty-sixth - exchange legal expenses and allowances to participate in training sessions

    Twenty-seventh - granting bonuses or buy gifts for gifted

    Twenty-eighth - to approve the disbursement of funds payable for work or services performed or goods in previous years, subject to the availability of the necessary provision to repay

    Twenty-ninth - President of the Organization of the validity of some of his powers to authorize financial intake under this command to his deputy and the heads of branches in the provinces or heads of committees

    Thirty - spending on construction of buildings and surfaces up to the necessary appropriations

     

    Fourth: the powers of the Vice President of the organization:

    The same powers of the head of the organization of administrative and financial powers granted to him by the President of the organization in the absence of the President of the organization and officially

    Fifth: the powers of committees and sections of the organization:

    Have the necessary powers to hold meetings, seminars and meetings and walk matters regarding the organization and activity of each committee or department

      

    Article XI:

    Mechanism of meetings of the Organization

    General commission shall meet regular during the month (June) of each year on the day designated by the Administrative commission, meets the general commission of a regular once every three months, and the meetings of the administrative structure of the organization in all its branches are by administrative controls to work through a plan of action the organization's annual prepared by governing commission of the organization

     

    Article XII:

    Elections Organization Mechanism

  1. The Commission shall elect the members of the public administrative commission by secret ballot and a simple majority.

  2. A member of the governing body to be a qualification level of college or above:

  1. Consists of the governing commission (7) members and (2) reserves members elected by the General commission from among its members when added to the original annual secret ballot and elect members of the governing commission, including a president and vice president of finance and secretary and the president, distribute each one role

  2. The membership of the governing commission elected for a period of (5 years) and may be re-elected them

     

    Article XIII:

    A member of the governing commission have resigned from the membership of the governing commission fails to attend meetings of the governing commission (three) consecutive meetings without an acceptable excuse

    Article XIV:

    The quorum of the General commission holder if he attends more than the sum of half of its members, and when you do not get a quorum mentioned postpone the meeting to the following week in the same place and time and has considered the commission in session regardless of the number of those present members and recorded all the decisions in a special register for this purpose and made ​​all its decisions by majority except With regard to amending the rules of procedure and solving it requires commission optionally issuance of the decision by a majority of two-thirds of the members of the General commission

     

    Article XV:

    Chaired by the President of the General commission meeting when not attending headed by his deputy, and when their absence is headed by the largest members of the governing body as a chairman of the session

    Article XVI:

    Administrative commission when necessary invite the General commission to an extraordinary meeting to discuss the emerging issues and take appropriate decisions to be advocating the introduction by the president of the governing commission exclusively

    Article XVII:

    Managerial decision-making mechanism

    The governing commission by a simple majority makes administrative decisions

     

    Chapter III

    Funding sources (incomes and financial matters)

     

    Article XVIII:

    Organization incomes consists of:

  1. The annual contributions of members of the organization.

  2. Aid, grants and subsidies from the Iraqi government in all its institutions.

  3. donations, subsidies and donations

  4. the proceeds of the activities and projects of the organization, according to the laws in force

  5. aid, grants and subsidies from organizations, associations and institutions, local, Arab and international governmental and non-governmental organizations with common goals and humanity as well as organizations of the United Nations and the Arab League and the Organization of the Islamic Conference and its institutions and the governments of Arab and foreign countries, according to the laws in force

    Article XIX:

    Records of the organization

    1 - Record of the members of the organization:

    Record the names and addresses of members of the organization and the age and history of the association and affiliation and academic achievement and other social information

    2 - Record of supporter’s member:

    Record the names and addresses of members and supporters of age and the date of their membership of the organization and academic achievement and other social information

    3 - Record of the minutes of the general commission:

    Record the minutes of the meeting of the General commission and its decisions

    4 - Record the minutes of the administrative commission:

    And records the minutes of meetings of the administrative commission and its decisions

    5 - Financial Record of the organization:

    Register in which all revenues and expenses of the organization

    6 - Record of assets:

    Record where all kinds of furniture and assets of the organization

    7 – Record of the store:

    And registers in which all incoming and outgoing materials from stores

     

    Chapter IV

    Trademarks

    Article XX:

     

  1. the Association Private Label which distinguish it from other (the official logo of organization)

     

     

     

     

     

     

     

     

     





This tag placed on all drug stores, facilities, and branches and means of transport belonging to the Association is not entitled to use other institutions, except as stipulated in the Geneva Conventions.

 

 

 

Chapter V

Article XXI:

 Cannot be founded another organization in Iraq that name to this end.

Article XXII:

  1. If the resignation of the entire administrative board or a majority of its members for a one-time For the president or vice-president do invite the General commission for an emergency meeting to elect a new administrative board to be complementary to the duration of the period of the administrative board resigned.

  2. of the general commission to decide by a majority of two-thirds of its members at an extraordinary meeting isolate the administrative board of the whole or some of its members and to elect a new administrative body be complementary to the duration of the period preceded

  3. of the general commission to decide by a majority of two-thirds of its members to  disband  organization and optionally by the decision to appoint the solution of one or more of the inventory and assets of the organization

    Article XXIII:

    Devolve funds and property of the organization movable and immovable property in the case solved solution (judicially or optionally) to the Ministry of Finance or charitable projects of public interest
